Agrokor Extends the Expiration Time of its Consent Solicitation

This press release supplements Agrokor d.d.’s (“Agrokor” or the “Company”) consent solicitation statement dated May 14, 2018 (the “Consent Solicitation Statement”) in relation to Agrokor’s €300,000,000 9.875% Senior Notes due 2019 (ISIN: XS0776111188 / XS0776110966), €325,000,000 9.125% Senior Notes due 2020 (ISIN: XS0836495183 / XS0836495696) and $300,000,000 8.875% Senior Notes due 2020 (ISIN: USX0027KAG32 / US00855UAB52). All capitalized terms used but not defined herein have the meanings ascribed to them in the Consent Solicitation Statement.
The Company announces that the Expiration Time of its Consent Solicitation will be postponed to 4:00 p.m., London time, on June 4, 2018, unless extended or earlier terminated by the Company, and references to “Expiration Time” in the Consent Solicitation Statement shall be construed to refer to 4:00 p.m., London time, on June 4, 2018 (unless extended or terminated). The Company will announce any further extensions of the Expiration Time by press release or other permitted means no later than 9:00 a.m., London time, on the Business Day following the then scheduled Expiration Time.
In addition, the Company announces that the mechanism to vote on the Settlement Plan referred to in the Consent Solicitation Statement, as further described in the forms of 2019 Senior Notes Supplemental Indenture and 2020 Senior Notes Supplemental Indenture in Annexes A and C to the Consent Solicitation Statement, respectively, will be amended such that the Trustee shall deliver the Proposed Settlement Agreement and any Related Matters to Holders and Beneficial Owners (each as defined in the Supplemental Indentures), and shall request that each Beneficial Owner votes to approve or reject the Proposed Settlement Agreement. The Trustee shall vote on the approval or rejection of the Proposed Settlement Agreement at the hearing of the Court (as defined in the Supplemental Indentures) to be held for voting on the Proposed Settlement Agreement in accordance with the votes received by such Beneficial Owners, as further described in the Supplemental Indentures.
